1. Services

IgniteCore provides lead reactivation, customer re-engagement, appointment-setting, CRM management, SMS outreach, automation implementation, and related marketing services.

Our services are designed to assist businesses in reconnecting with leads, prospects, and customers already contained within the client's existing database.

2. Client Responsibility for Lead Data

Clients represent and warrant that:

They lawfully obtained all lead and customer information provided to IgniteCore.

They possess all required permissions, consents, and legal rights necessary for outreach activities.

Their data collection practices comply with applicable federal, state, and local laws.

IgniteCore does not generate, purchase, or sell lead lists on behalf of clients unless otherwise agreed in writing.

Clients retain ownership of all customer and lead data provided to IgniteCore.

3. No Guaranteed Results

While IgniteCore strives to maximize reactivation opportunities, we do not guarantee:

Specific revenue outcomes

Appointment volumes

Sales results

Conversion rates

Return on investment

Customer responses

Business performance depends on numerous factors beyond our control, including market conditions, offer quality, pricing, sales processes, and customer demand.

4. SMS and Communication Compliance

Where SMS outreach services are provided:

IgniteCore acts on behalf of the client.

Clients remain responsible for ensuring lawful communication practices.

Clients must maintain proper records of consent where required by law.

Recipients must be provided reasonable methods to opt out of communications.

IgniteCore reserves the right to suspend campaigns believed to violate applicable communication regulations.

5. Intellectual Property

All website content, branding, designs, software configurations, automations, systems, and proprietary processes created by IgniteCore remain the property of IgniteCore unless otherwise agreed in writing.

Clients retain ownership of their business data and customer records.

6. Payments and Fees

Fees for services shall be outlined in separate service agreements, proposals, or invoices.

Failure to make timely payments may result in suspension or termination of services.

All fees paid are non-refundable unless otherwise specified in a written agreement.

7. Limitation of Liability

To the maximum extent permitted by law, IgniteCore shall not be liable for:

Lost profits

Lost revenue

Loss of business opportunities

Indirect damages

Consequential damages

Special damages

Any liability arising from services provided shall not exceed the total amount paid by the client to IgniteCore during the three (3) months immediately preceding the claim.

8. Third-Party Platforms

IgniteCore may utilize third-party platforms, software providers, telecommunications providers, CRM systems, and automation tools.

We are not responsible for outages, interruptions, pricing changes, policy changes, or service failures caused by third-party providers.

9. Confidentiality

Both parties agree to maintain the confidentiality of non-public business information disclosed during the course of the business relationship.

10. Termination

IgniteCore may terminate or suspend services immediately if:

A client violates applicable laws.

Fraudulent activity is suspected.

Required payments are not made.

Continued service would expose IgniteCore to legal or reputational risk.

11. Governing Law

These Terms shall be governed by the laws of the State of [STATE], without regard to conflict-of-law principles.
